Devizes Sports Club Extraordinary General Meeting

Agenda:

 1. To record Attendance and any Apologies  

 2. To receive a report pursuant to the DSC AGM in April 2022 that tasked the chairs of the 3 member sports clubs (DRFC, DCC and DTC) to devise a management structure that would allow the Trustees to seek a release from the extant Lease that it holds with DRFC and DCC.

 It is the intention of all clubs (DTC, DCC and DRFC) to thrive and promote sport in Devizes at the London Road grounds.

 The operation of the sports club through a committee is no longer viable therefore change has to happen. The Chairs have agreed to pursue a course of action that would see DRFC, as 50% owners of the freehold, assume a sole management role under a lease agreement with DCC who own the freehold of the remaining 50%. 

A process has been agreed by all clubs to agree the apportionment of debts and liabilities that will allow DRFC to take over the running of the Sports Club facility and the use of that facility on a pay per use basis for the other clubs. This includes (if required) escalation to mediation and if necessary, an arbitrator whose decision would be binding on all clubs.

Once the financial separation has been agreed we require authorisation from the DSC membership to allows the heads of the 3 clubs to ask the Trustees of DSC to hand back the current lease and that DCC and DRFC agree to terminate the lease on the same date on provision that a further lease has been agreed and signed between DRFC and DCC

 3. The members present to vote on the following proposal For or Against.

Subject to the financial settlement being agreed under the process defined by the agreement dated 21 September 2022 between Devizes Cricket Club, Devizes Tennis Club and Devizes Rugby Club. The members of Devizes Sports Club authorise the heads of Cricket, Rugby and Tennis to ask the Trustees of DSC to hand back the current lease.
